AI Verification Terms of Service
Effective as of April 20, 2026
Definitions
In these Terms, the following definitions apply unless the context requires otherwise:
"API" means the application programming interface provided by the Company that enables programmatic access to the Service
"API Key" means the unique authentication credential issued by the Company to the Customer to enable access to the API
"Authorised User" means any employee, contractor, or agent of the Customer who is authorised by the Customer to access the Service under the Customer's account
"Biometric Data" means personal data resulting from specific technical processing relating to the physical, physiological, or behavioural characteristics of a natural person, including voice recordings and voiceprints, which allow or confirm the unique identification of that natural person
"Confidential Information" means all non-public information disclosed by one party to the other in connection with the Service, including but not limited to technical information, pricing, business plans, source code, API specifications, Customer Data, and detection model parameters
"Credit(s)" means the unit of consumption by which usage of the Service is measured, where one (1) Credit is consumed per audio file submitted for analysis
"Customer" means the individual or legal entity that has accepted these Terms and is accessing or using the Service
"Customer Content" means all audio files, data, metadata, and other materials uploaded, submitted, or transmitted by the Customer or any Authorised User through the Service
"Data Processing Agreement (DPA)" means the data processing agreement governing the Company's processing of Personal Data on behalf of the Customer as data controller, available upon request
"Detection Output" means any report, score, heatmap, verdict, confidence level, API response, or other analytical result generated by the Service in respect of Customer Content
"Documentation" means any technical and user documentation relating to the Service published by the Company from time to time, including API specifications
"Effective Date" means the date on which the Customer first accepts these Terms or accesses the Service, whichever is earlier
"Enterprise Agreement" means a separately executed commercial agreement between the Company and the Customer for Enterprise plan access, supplementing or superseding these Terms where expressly stated
"EU AI Act" means Regulation (EU) 2024/1689 of the European Parliament and of the Council on artificial intelligence, as amended or implemented from time to time
"Force Majeure Event" means any cause beyond a party's reasonable control, including acts of God, war, terrorism, pandemic, government action, internet infrastructure failure, cyberattack by a third party, labour disputes, or acts or omissions of third-party service providers
"GDPR" means the UK General Data Protection Regulation (as incorporated into UK law by the Data Protection Act 2018) and, where applicable, Regulation (EU) 2016/679 of the European Parliament (EU GDPR), together with any implementing or delegated legislation
"Intellectual Property Rights" means all patents, rights to inventions, copyright and related rights, trademarks and service marks, trade names, database rights, rights in software, know-how, trade secrets, and all other intellectual property rights, whether registered or unregistered
"Personal Data" means any information relating to an identified or identifiable natural person, as defined under GDPR
"Plan" means the subscription tier selected by the Customer (Free, Basic, Pro, or Enterprise), as described in Section 7
"Service" means the AIVerification Ltd deepfake and voice fraud detection platform, including the web dashboard, API, Detection Outputs, Documentation, and any related services, as further described in Section 3
"Special Category Data" means personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, Biometric Data, health data, data concerning a person's sex life or sexual orientation, as defined in GDPR Article 9
"Sub-processor" means any third-party processor engaged by the Company to process Personal Data in connection with the provision of the Service
"Acceptable Use Policy" means the policy set out in Section 5 of these Terms governing permitted and prohibited uses of the Service
Acceptance and Formation of Contract
How These Terms Are Accepted
These Terms and Conditions ("Terms") form a legally binding contract between AIVerification Ltd ("Company", "we", "us", or "our") and the Customer. A binding contract is formed when any of the following occurs:
- (a) the Customer clicks "I Agree" or similar;
- (b) the Customer uses the Service;
- (c) the Customer executes an agreement incorporating these Terms;
- (d) the Customer pays any fees.
Authority to Contract
If accepting on behalf of an entity, the individual represents they have authority to bind that entity. Without such authority, the Terms must not be accepted.
Eligibility
- (a) at least 18 years old with legal capacity;
- (b) entity is validly formed and in good standing;
- (c) use complies with applicable law;
- (d) not restricted by sanctions or export laws.
Business Customers Only
The Service is for B2B use only and not intended for consumer use.
Description of Service
What the Service Does
The Service provides AI-powered audio deepfake and voice fraud detection, producing probabilistic Detection Outputs based on submitted audio.
Core Features
- (a) real-time analysis (~5 seconds);
- (b) confidence scoring and explainable reports;
- (c) web dashboard;
- (d) REST API access;
- (e) multi-step verification;
- (f) enterprise integrations.
Critical Limitations
Detection Outputs are probabilistic and must not be relied on as sole decision-making evidence.
- (a) ~98.3% accuracy (approx. 1 in 50 errors);
- (b) results affected by audio conditions;
- (c) not legal or forensic evidence;
- (d) no liability for reliance on incorrect outputs;
- (e) mandatory human review required.
Service Evolution
Features may change with notice. Beta features are provided without warranty.
Account Registration and Security
Registration Requirements
Customers must provide accurate and current information when registering.
Account Credentials
- (a) keep credentials confidential;
- (b) restrict access to authorised users;
- (c) responsible for all account activity;
- (d) rotate compromised credentials;
- (e) notify Company of breaches.
API Key Security
- (a) no client-side exposure;
- (b) no unencrypted transmission;
- (c) no unauthorised sharing;
- (d) no insecure storage.
Account Suspension
The Company may suspend accounts suspected of misuse or security risk.
Acceptable Use Policy
Permitted Uses
- (a) fraud prevention;
- (b) telecom and call centre security;
- (c) KYC and identity verification;
- (d) corporate security;
- (e) media verification;
- (f) insurance fraud investigation;
- (g) academic research;
- (h) law enforcement compliance.
Prohibited Uses
- (a) building or improving deepfake systems;
- (b) evading detection systems;
- (c) fraud or impersonation;
- (d) unlawful data processing;
- (e) discrimination;
- (f) misuse of minors’ data;
- (g) automated decisions without review;
- (h) surveillance without lawful basis;
- (i) harmful or military use;
- (j) legal violations;
- (k) resale or misuse of service;
- (l) scraping or attacks;
- (m) malware transmission.
Regulatory Compliance
Customers are responsible for compliance with all applicable laws and regulations.
Enforcement
The Company may monitor usage and take enforcement action including suspension or termination.
API Access, Credits, and Usage
Grant of Access
The Company grants a limited licence to use the API for internal business purposes.
Credit System
- (a) 1 credit per request;
- (b) credits allocated per plan;
- (c) monthly credits expire;
- (d) pay-as-you-go expiry rules apply;
- (e) credits consumed per request;
- (f) no monetary value.
Rate Limits
API usage is subject to plan-based rate limits.
Fair Use
Excessive or abusive usage may result in throttling or suspension.
API Changes
API versions may change with notice and deprecation timelines.
Pricing, Payment, and Billing
Plan Tiers
The Service offers Free, Basic, Pro, and Enterprise plans, plus pay-as-you-go credits.
Billing and Renewal
Subscriptions renew monthly unless cancelled.
Taxes
Customers are responsible for applicable taxes.
Payment Processing
Payments are handled by third-party processors.
Failed Payments
Late payments may result in suspension or termination.
Refunds
Fees are generally non-refundable except in limited cases.
Disputes
Invoice disputes must be raised within 14 days.
Price Changes
Pricing may change with 30 days’ notice.
Confidentiality
Obligations
- (a) keep Confidential Information strictly confidential;
- (b) use it only for purposes under these Terms;
- (c) limit access to authorised persons under similar obligations;
- (d) notify of any unauthorised disclosure.
Exceptions
Obligations do not apply to publicly available, previously known, independently developed, or lawfully disclosed information.
Company Confidential Information
Includes models, APIs, pricing, security systems, and proprietary methods.
Duration
Survives 3 years; trade secrets indefinitely.
Injunctive Relief
Parties may seek equitable remedies for breach.
Representations and Warranties
Customer Warranties
- (a) authority to enter Terms;
- (b) compliance with laws;
- (c) proper consents obtained;
- (d) no rights infringement;
- (e) no malicious content;
- (f) adequate data protection measures.
Company Warranties
- (a) right to provide Service;
- (b) Service aligns with documentation;
- (c) security measures maintained.
Service Availability and SLAs
Uptime Target
Target uptime is 99.5% monthly for paid plans.
Exclusions
- (a) maintenance;
- (b) force majeure;
- (c) customer misuse;
- (d) third-party failures;
- (e) beta features.
Service Credits
10% credit if uptime falls below target.
Enterprise SLAs
Custom SLAs may apply.
Free Plan
No SLA or guarantees.
Disclaimer of Warranties
As-Is Basis
Service is provided "as is" without warranties of any kind.
AI Accuracy
Outputs are probabilistic; errors may occur.
Third-Party Services
No warranty for third-party dependencies.
Limitation of Liability
Exclusion of Loss
No liability for indirect, consequential, or business losses.
Liability Cap
Limited to fees paid in last 12 months or £1,000.
Exceptions
Includes death, fraud, or non-excludable liabilities.
Indemnification
Customer Indemnity
Customer covers claims from misuse, law violations, or content issues.
Company Indemnity
Company covers IP infringement claims (subject to conditions).
Mitigation
Company may modify or terminate Service to resolve claims.
Term and Termination
Term
Continues until terminated.
Termination by Customer
May cancel anytime; effective end of billing period.
Termination by Company
Immediate termination for breach, non-payment, or risk.
Effects
Access ends, licences revoked, data handled per Terms.
Survival
Key provisions continue post-termination.
Compliance with Laws
General Compliance
Parties must follow all applicable laws.
Sanctions and Export Controls
Service must not be used in violation of sanctions laws.
Reporting
Breaches must be reported immediately.
Anti-Bribery and Modern Slavery
Parties must comply with anti-bribery, anti-corruption, and modern slavery laws.
Governing Law and Dispute Resolution
Governing Law
Governed by laws of England and Wales.
Negotiation and Mediation
Disputes resolved through negotiation, then mediation.
Litigation
Courts of England and Wales have jurisdiction.
Changes to These Terms
Right to Amend
Terms may be updated with notice depending on materiality.
Effect of Use
Continued use constitutes acceptance.
Version History
Previous versions available on request.
Third-Party Services and Integrations
The Service may integrate with or depend on third-party services, infrastructure providers, and Sub-processors.
- (a) the Company is not responsible for availability or performance of third-party services;
- (b) the Company is not responsible for third-party terms, pricing, or data practices;
- (c) the Company is not liable for losses caused by third-party failures, except where required under SLA obligations.
Use of third-party services is governed solely by their respective terms.
General Provisions
Entire Agreement
These Terms, along with related agreements and policies, constitute the entire agreement.
Order of Precedence
Priority: (1) Enterprise Agreement; (2) DPA; (3) Terms; (4) Privacy Policy; (5) Documentation.
Severability
Invalid provisions are modified or removed without affecting the rest.
Waiver
Delays in enforcement do not waive rights unless in writing.
Assignment
Customer cannot assign without consent; Company may assign with notice.
Relationship of the Parties
Parties are independent contractors with no agency or partnership.
Notices
Notices must be sent via email and are deemed received upon delivery confirmation.
Publicity
Public references require consent, except standard logo usage unless objected.
Force Majeure
Neither party is liable for delays due to uncontrollable events; termination rights apply if prolonged.
No Third-Party Beneficiaries
No third parties gain rights under these Terms.
Electronic Contracting
Electronic acceptance is legally binding.
Language
English version prevails in case of inconsistencies.
